Legal and Corporate Governance Executive, Google China (Mandarin, English)

Minimum qualifications:

  • Bachelor's degree or equivalent practical experience.
  • 8 years corporate secretarial, corporate legal or paralegal/legal specialist experience at a law firm, service provider or in-house legal department of a multi-national company.
  • Ability to communicate in Mandarin and English fluently to support the clients in this market.

Preferred qualifications:

  • Demonstrated experience in managing a wide array of company law matters across multiple APAC jurisdictions as an individual contributor.
  • Ability to digest, understand and systematically organize and make sense of numerous complex legal documents. Excellent organizational and time management skills, with the ability to prioritize multiple projects that are time sensitive.
  • Proven ability to lead and project manage complex corporate matters, and stakeholders.
  • Strong individual contributor with attention to details.
  • Highly motivated, positive attitude with excellent problem solving skills. Excellent communication and collaboration skills.

About the job

As a Legal Specialist, you will join a close-knit and high-performing team which is responsible for the corporate secretarial, corporate compliance and governance matters of Google subsidiaries in the Asia Pacific region. You will utilize excellent organizational, critical thinking, problem-solving, and communication skills as well as the ability to multi-task on tight deadlines to contribute to the team’s success. You will own and manage multiple projects and portfolios of significant impact and will interact with multiple groups within the legal department, with internal clients across Google, and with external parties. Responsibilities

  • Manage corporate expansions, liquidations, integrations and coordination of corporate compliance, governance and maintenance for subsidiaries in the Asia Pacific region.
  • Coordinate board of directors and shareholders meetings in accordance with the local statutory requirements, including attending meetings, preparing materials and taking minutes.
  • Design and implement new procedures to increase efficiency and productivity. Provide guidance to stakeholders to ensure consistency in the application of business and legal policies.
  • Maintain corporate minute books, internal databases, and records. Monitor, compile, and file financial statements, annual reports, and regulatory filings. Draft and approve corporate documents and support acquired subsidiaries' administration, including post-closing integration.
  • Perform corporate housekeeping tasks, including daily tracking of documents and routing documents for signature and distribution, document filing and data organization. Special projects as requested.
